Terms of Service

1. Agreement

These Terms of Service govern your use of mugafihq.com and the Mugafi AI screenwriting platform (the "Service") operated by Mugafi Private Limited ("the Company," "we," "us," or "our"), a company incorporated in India with its registered office at Unit 12B, Linking Road, Bandra West, Mumbai, Maharashtra 400050, India. By creating an account or using the Service, you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

If you are using the Service on behalf of an organisation (for example, a production company or OTT studio using the Studio plan), you represent that you have authority to bind that organisation to these Terms.

2. The Service

Mugafi provides an AI-assisted screenwriting environment. Core features include: a beat-structure analysis engine that maps treatments against narrative frameworks; a dialogue assistant that builds character voice models from your existing scenes; and a rewrite mode that flags passive action lines and on-the-nose dialogue. The specific features available to you depend on the plan you have subscribed to (Craft, Writer, or Studio).

The Service is at an early stage. We work closely with our writer community to improve it, and features may change. We will communicate material changes that affect existing workflows.

3. Use of the Service

• You must be of legal age in your jurisdiction or have parental consent to use the Service.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to any part of the platform or to other users' accounts.
• You may not scrape, reverse-engineer, or copy the Service except as permitted by mandatory law.
• You agree not to upload content that infringes third-party intellectual property rights, contains malicious code, or violates applicable law.

4. Intellectual Property

The Service, including its AI models, interface, and underlying software, is owned by Mugafi Private Limited or its licensors and is protected by Indian and international intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during the period of your active subscription.

Your content remains yours. You retain full intellectual property ownership of the screenplays, treatments, beat outlines, and any other creative work you produce using Mugafi. We claim no ownership over your scripts. The limited licence you grant us (see Section 5) is operational only, not a transfer of ownership.

5. Your Content and Our Limited Licence

You are responsible for any content you submit to the Service. By uploading or creating content on Mugafi, you grant us a limited, non-exclusive, royalty-free licence to store, process, and use that content solely to provide the Service to you: running beat analysis, generating dialogue suggestions, delivering exports, and backing up your work. We do not use your script content to train our AI models. This licence ends when you delete the content or close your account.

You warrant that you have the right to submit any content you upload, and that doing so does not infringe the rights of any third party.

6. Subscription Plans and Payment

The Craft plan is free of charge with a limit of two screenplays per month. The Writer and Studio plans are paid subscriptions billed monthly or annually through our payment processor. Prices are shown in USD on our pricing page, with an indicative INR equivalent displayed for reference. All prices are exclusive of applicable taxes.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We do not offer refunds for partial billing periods except where required by applicable consumer protection law.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis. We disclaim all warranties to the maximum extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Mugafi's beat and dialogue suggestions are AI-generated; they are intended to assist your creative process, not to replace your editorial judgment. Mandatory consumer warranties applicable in your country of residence are not affected by this disclaimer.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the amount you paid to us in the three months preceding the claim, or USD 100, whichever is greater. This limitation does not apply to liability that cannot be excluded under mandatory law, including liability for fraud or personal injury.

9. Indemnification

You agree to indemnify and hold harmless Mugafi Private Limited from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right.

10. Termination

We may suspend or terminate your access to the Service if you breach these Terms, with or without prior notice depending on the severity of the breach. On termination, your licence to use the Service ends. You may export your script content before termination. Sections that by their nature should survive termination (including Sections 4, 5, 7, 8, 9, 11) will survive.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms or the Service will first be subject to good-faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, either party may submit it to the non-exclusive jurisdiction of the competent courts in Mumbai, India. This does not limit your mandatory consumer-protection rights under the laws of your country of residence.

12. Changes and Contact

We may update these Terms. Material changes will be posted with a new "Last updated" date and, for registered users, notified by email. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms.
